1. Acceptance of terms

By accessing or using StrataSphera ("the Service"), you agree to be bound by these Terms and Conditions. If you do not agree, you may not use the Service. These terms apply to all users, including strata committee members, lot owners, strata managers, and tenants.

2. Description of service

StrataSphera is a software-as-a-service platform for Australian strata scheme management. The Service includes tools for managing meetings, votes, members, maintenance tickets, documents, and billing. Features may change over time and we will notify users of material changes.

3. Account responsibilities

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@stratasphera.com if you become aware of any unauthorised access.

4. Acceptable use

You agree not to use the Service to:

• Upload or transmit unlawful, defamatory, or misleading content
• Attempt to gain unauthorised access to any part of the Service
• Reverse engineer, copy, or resell any part of the platform
• Use the Service in a way that violates any applicable Australian law

5. Subscription and billing

Plans are billed monthly or annually based on your scheme's lot count. All prices are in Australian dollars and include GST. Your subscription will automatically renew unless cancelled before the end of the billing period. Refunds are assessed on a case-by-case basis.

6. Free trial

New schemes receive a 30-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial, continued access requires a paid subscription.

7. Data and privacy

Your use of the Service is also governed by our Privacy Policy. By using StrataSphera, you consent to the collection and use of your information as described therein. Data is stored in Australia.

8. Intellectual property

All content, design, and code comprising the Service is the property of StrataSphera Pty Ltd. Your data remains your own. You grant us a limited licence to store and process your data solely to provide the Service.

9. Limitation of liability

To the maximum extent permitted by Australian law, StrataSphera Pty Ltd is not liable for any indirect, incidental, or consequential loss arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the three months preceding the claim.

10. Termination

You may cancel your subscription at any time through the billing portal. We reserve the right to suspend or terminate accounts that breach these terms. On termination, your data will be retained for 30 days before deletion unless you request earlier removal.

11. Changes to these terms

We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the revised terms.

12. Governing law

These Terms are governed by the laws of New South Wales, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
